浅谈我国国有企业公司治理中存在的问题.docx

摘要
国有企业是国民经济主导，是促进国家建设现代化的重要力量，为保障国民经济健康平稳发展，发挥着重要作用。作为企业的核心内容，合理有效的公司治理就显得更为重要。现阶段,国有企业在公司治理方面还存在许多滞留问题,需要我们去研究并解决。本文通过对当前经济形势下国有企业公司治理现阶段仍存在的问题分析，提出构建适度集中且多元化的股权结构、完善独立董事会制度、建立有效的职业经理人市场以及增强信息披露的透明度等对策，以此不断改革并完善公司治理结构。改革和完善国有企业公司治理中存在的问题，有利于国有资产合理利用，有利于市场资源优化配置，促进国有企业持续健康发展。

Abstract
Stateownedenterprisesarethemainforceofthenationaleconomy,whichisanimportantforcetopromotethemodernizationofthecountry'sconstruction,andplayanimportantroleinensuringthehealthyandstabledevelopmentofthenationaleconomy.Asthecorecontentoftheenterprise,reasonableandeffectivecorporategovernanceismoreimportant.Atthisstage,therearestillmanyproblemsinthecorporategovernanceofstate-ownedenterprises,weneedtostudyandsolve.Basedontheanalysisofcorporategovernanceunderthecurrenteconomicsituationatthisstagestillexistingproblems,putforwardtobuildmoderatelyconcentratedanddiversifiedownershipstructure,perfectingtheindependentdirectorsystem,establisheffectiveoccupationmanagermarketandenhancethetransparencyofinformationdisclosureandsoon,inordertocontinuouslyreformandimprovethecorporategovernancestructure.Thereformandimprovementoftheproblemsexistinginthecorporategovernanceofstate-ownedenterprisesisconducivetotherationaluseofstate-ownedassets,isconducivetotheoptimalallocationofmarketresources,andpromotethesustainedandhealthydevelopmentofstate-ownedenterprises.
