济南翔鹰雕刻机独家代理协议JiNanXiangyingengravingmachineExclusiveAgencyAgreement本协议于2011年XX月XX日生效，双方在平等互利基础上达成，按双方同意的下列条件发展业务关系：ThisagreementiseffectiveonXX,XX,2011,itismadeandenteredintobyandbetweenthepartiesconcerned,onthebasisofequalityandmutualbenefittodevelopbusinessontermsandconditionsmutuallyagreeduponasfollow:1.协议双方ThePartiesConcerned甲方：济南翔鹰科技发展有限公司PartyA:jinanxiangyingScien-TechDevelopmentco.,LtdAddress:NO.236SectionshopinHuaiyinDistrict,JinanCity,ShandongProvince,ChinaTel:[phone]Fax:[phone]乙方：PartyB:Address:Tel:Fax:2.委任Appointment甲方指定乙方为其在（）地区的独家代理，为数控雕刻机在xxx的顾客中招揽订单，乙方接受上述委任。PartyAherebyappointsPartyBasitsExclusiveAgenttosolicitordersforCNCRouterinxxx,PartyBacceptsandassumessuchappointment.3.代理商品Commodity数控雕刻机，包括广告机，木工机。CNCRouterincludeAdvertisingmachine,Woodworkingmachine.4.代理区域Territory5.最低业务量MinimumTurnover乙方同意，在本协议有效期内，乙方从（）代理区域内的顾客处招揽的数控雕刻机订单。AfterPartBagree,duringtheeffectiveperiodofthisagreement,PartBshallundertakeordersforCNCRouterfromcustomersinxxx.6.价格与支付Price,DiscountandPayment每一笔交易的货物价格应由乙方与买主通过谈判确定，并须经甲方最后确认。每次订单，乙方需用T/T电汇的方式付50%的定金。甲方在确认收到定金后，给车间下订单进行安排生产。乙方需在收到甲方发给的提单后付清剩余的50%。ThepriceforeachindividualtransactionshallbefixedthroughnegotiationsbetweenPartyBandthebuyer,andsubjecttoPartyA’sfinalconfirmation.Everyorder,PartyBshouldpay50%ofthewholepaymentasfordepositbyT/T.AfterPartyAconfirmtogetthedeposit,PartyAarrangetoproducethemachine.AndPartyBshouldpaytheremainingof50%withtheBillofLadingwhichPartyAsenditbyFax.7.质保Warranty雕刻机销售一年内，如果任何零部件坏的话（除了易损件外，如刀具），经鉴定非人为因素导致配件坏的话，像控制卡，主轴，驱动，电机等，包换（乙方邮寄坏的配件给甲方，甲方邮寄新的配件给乙方或者修理好）。Aftersalewithinoneyear,ifanysparepartsisbrokenordoesn’twork(thesparepartsdoesn’tincludeeasilybrokenspareparts,suchascuttingorengravingtool/blade)whichisnotbrokenbyperson,suchasControlCard,Spindle,Driver,Motorandsoon,exchangeguaranteedforoneyear(PartBmustexpressthebrokensparepartstoPartAandPartAneedstoexpressthenewsparepartstoPartBorexpressthesparepartswhichisrepared).8.独家代理权ExclusiveAgentRight基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方意外的渠道
