AbstractGenerally,M&AreferstotheMergerandAcquisitions,itmeansthatthepurchaserobtainsownershipandcontrolofobjective’spropertytransactionthroughassetpurchaseorsecuritiestrading.Afterthefinancialcrisisinstateownedenterprisestomaintainagoodposture，andtofurthergrowanddevelop．ForChina'sstate－ownedenterprisestoexpandforeigndirectinvestment，strengtheneconomictieswithforeigncountries，andpromoteChina'snationaleconomicdevelopment，enhanceourinternationaleconomicpositionofgreatsignificance．Thisarticlebasedonthecurrentoverseasmergersandacquisitionsofcorporatestatus，thestate－ownedenterprisesfacetheproblemofoverseasmergersandacquisitions，theresultsachieved．Toanalyzeandspeculatethefutureofstate－ownedenterprisesofChina'soverseasM&Aprospects．Andtounderstandthatthecurrentinternationaleconomicenvironment，theMergerandAcquisitionsofourcountryshouldpayattentiontotheproblemsandinthedevelopmentoftheroadshouldbepreparedtodo．China'sstate－ownedenterprisestoallowthedevelopmentofoverseasmergersandacquisitionsmoresmoothly，sothatChina'sintegrationintheglobaleconomyanticipatetheroad．Keywords:OverseasM&A，M&ARisk，CulturalDifferences，MichaelPorterDiamondModel引言中国企业的海外并购是对外开放以来最令人鼓舞的事情，也是争论不休的焦点问题，了解其发展的历史和现状是认识和讨论这一重大理论和实践问题的基础。在本文中，我将对我国企业海外并购的基本情况进行概述与分析，对我国企业海外并购现状进行分析，通过具体案例说明中国企业海外并购的成功与失败原因，分析我国企业海外并购中所遇到的风险与难题。从而可以得出政府应积极努力地为中国企业海外并购创造良好的环境是当务之急，并提出对我国海外并购的参考建议。一、中国企业海外并购的现状及分布(一)中国企业海外并购现状1.海外并购数目持续上升随着全球经济一体化的不断深入和发展，特别是2001年我国正式加入WTO，我国企业海外并购的数量呈现逐年递增态势。下图给出2001年至2008年中国企业海外并购数量随年份的变化趋势，而2007年至2008年间的增长势头也越来越快。图：中国企业海外并购数量变化趋势图来源：PriceWaterhouseCoopers2.海外并购标的大且处于增长趋势2000年至2003年期间,交易金额超过10亿美元的中国海外并购事件没有一宗。但仅在2004年底至2005年底的12个月内,我国就出现超过6宗资金超过10亿美元的跨国并购事件，到了2009年，单单是中石油集团计划斥资170亿美元收购西班牙雷普索尔-YPF阿根廷公司的75%股权，由此可见我国企业海外并购的标的是越来越大的。3.海外并购目的多元化中国企业跨国并购的目的已经开始转变，由起初单纯扩大市场规模、获得规模经济转向全球,在全球范围内争夺优秀人力资源、有效创新技术,寻求资源优化的最佳配置,取得行业领域中的竞争优势。（二）中国企业海外并购的区位及产业分布1.中国企业海外并购的区位分布概况区位分布指的是企业展开海外并购时，被并购的海外企业的地区分布，又称区位分布，也就是我国企业海外并购资金的区域流向。而海外并购的产业分布是指我国企业展开跨国并购时，收购的目标海外公司所处的产业，被并购的外国目标公司所在的产业，换言之就是我国企业海外并购产业资金流向。图1：中国
