国际贸易术语解释通则2010(英文) 第一篇：国际贸易术语解释通则2010(英文)Incoterms2010RULESFORANYMODEORMODESOFTRANSPORTEXWORKSEXW(insertnamedplaceofdelivery)Incoterms2010GUIDANCENOTEThisrulemaybeusedirrespectiveofthemodeoftransportselectedandmayalsobeusedwheremorethanonemodeoftransportisemployed.Itissuitablefordomestictrade,whileFCAisusuallymoreappropriateforinternationaltrade.“ExWorks”meansthatthesellerdeliverswhenitplacesthegoodsatthedisposalofthebuyerattheseller‟spremisesoratanothernamedplace(i.e.,works,factory,warehouse,etc.).Thesellerdoesnotneedtoloadthegoodsonanycollectingvehicle,nordoesitneedtoclearthegoodsforexport,wheresuchclearanceisapplicable.Thepartiesarewelladvisedtospecifyasclearlyaspossiblethepointwithinthenamedplaceofdelivery,asthecostsandriskstothatpointarefortheaccountoftheseller.Thebuyerbearsallcostsandrisksinvolvedintakingthegoodsfromtheagreedpoint,ifany,atthenamedplaceofdelivery.EXWrepresentstheminimumobligationfortheseller.Theruleshouldbeusedwithcareas:a)Thesellerhasnoobligationtothebuyertoloadthegoods,eventhoughinpracticethesellermaybeinabetterpositiontodoso.Ifthesellerdoesloadthegoods,itdoessoatthebuyer‟sriskandexpense.Incaseswherethesellerisinabetterpositiontoloadthegoods,FCA,whichobligesthesellertodosoatitsownriskandexpense,isusuallymoreappropriate.b)AbuyerwhobuysfromaselleronanEXWbasisforexportneedstobeawarethatthesellerhasanobligationtoprovideonlysuchassistanceasthebuyermayrequiretoeffectthatexport:thesellerisnotboundtoorganizetheexportclearance.BuyersarethereforewelladvisednottouseEXWiftheycannotdirectlyorindirectlyobtainexportclearance.c)Thebuyerhaslimitedobligationstoprovidetotheselleranyinformationregardingtheexportofthegoods.However,thesellermayneedthisinformationfor,e.g.,taxationorreportingpurposes.ATHESELLER‟OBLIGATIONSA1GeneralobligationsofthesellerThesellermustprovidethegoodsandthecommercialinvoiceinconformitywiththecontractofsaleandanyotherevidenceofconformitythatmayberequiredbythecontract.AnydocumentreferredtoinA1-A10maybeanequivalentelectronicrecordorproced
